These Terms of Use ("Terms") govern your access to and use of Spinaxy Cloud, including our digital marketplace, app and website hosting services, and app and website management support (collectively, the "Services"). By accessing or using Spinaxy Cloud, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
Spinaxy Cloud is a platform that enables users to:
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of unauthorized access.
Buyers. Purchases grant licenses as described on each product listing. You may not redistribute, resell, or misuse items except as permitted by the applicable license. You are responsible for reviewing product descriptions, requirements, and license terms before purchase.
Sellers (Authors). You represent that you own or have rights to sell listed items, that listings are accurate, and that your products do not infringe third-party rights or violate law. We may review, approve, reject, or remove listings at our discretion. Fees, payouts, and author obligations are described in separate author terms where applicable.
Prohibited conduct. You may not upload malware, engage in fraud, manipulate reviews, circumvent license protections, scrape the platform without permission, or use the marketplace for illegal purposes.
Hosting and management features are provided subject to plan limits, fair use policies, and technical requirements we publish. You are responsible for your content, backups, compliance with applicable laws, and securing your applications. We do not guarantee uninterrupted availability but strive to maintain reliable service. Scheduled maintenance and force majeure events may affect availability.
Management support may include guidance, configuration assistance, updates, and monitoring as described in your service plan. Support scope, response times, and exclusions are defined at purchase or in service documentation.
Prices, subscriptions, hosting fees, and marketplace commissions are displayed at checkout or in your account. You agree to pay all applicable charges and taxes. Failed payments may result in suspension of services or access.
Spinaxy Cloud, its branding, software, and platform content are owned by us or our licensors. Marketplace items remain the property of their respective authors. Nothing in these Terms transfers ownership except as expressly stated in a product license.
You retain ownership of content you submit. You grant us a license to host, display, and process your content as necessary to operate the Services. You are solely responsible for your content and its legality.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPINAXY CLOUD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
You agree to indemnify and hold harmless Spinaxy Cloud from claims, damages, and expenses arising from your use of the Services, your content, your products, or your violation of these Terms or applicable law.
We may suspend or terminate your account for breach of these Terms, fraud, legal requirements, or risk to the platform. You may close your account at any time. Provisions that by nature should survive termination will survive.
Before initiating formal proceedings, you agree to contact us to seek informal resolution. These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law rules, except where consumer protection laws in your country require otherwise.
We may modify these Terms at any time. Material changes will be posted on this page. Your continued use after the effective date constitutes acceptance of the revised Terms.
